When the S-corp conversation makes sense
An S-corp election can reduce self-employment tax, but it introduces payroll obligations, a reasonable-compensation requirement, and a separate return. Below a certain level of profit, the added cost and administration outweigh the saving.
The useful question is not whether an S-corp saves tax in the abstract. It is whether it saves more than it costs at your specific level of profit — and that is arithmetic we can do together.
Systems that keep it clean
Structure only works if the day-to-day supports it. Separate business banking, a sensible chart of accounts, a documented way owner draws are handled, and records kept in a form that survives scrutiny.

- Should I form an LLC?
- For many small businesses it is a sensible default — liability separation with modest administrative overhead. But an LLC is a legal structure, not a tax structure; how it is taxed is a separate election worth thinking through deliberately.
- At what profit level does an S-corp start to make sense?
- It depends on your reasonable compensation, the added payroll and filing costs, and your state situation. Texas helps here — no state income tax — but the arithmetic is specific to you and worth running before electing.
- Can you help me register the business?

- I already formed an entity. Is it too late?
- No. Structures can be changed, and elections can be made or revoked. It is worth reviewing what you have rather than assuming you are stuck with it.
